Darryl, Edward & Co. recently participated in the seminar “Navigating U.S. Listing: Legal and Strategic Perspectives on NYSE & Nasdaq”, organised by The Robinhood Club in collaboration with CFN Lawyers LLC at TRX Exchange 106. The event focused on regulatory issues affecting non-U.S. issuers seeking access to U.S. capital markets.

During the seminar, Terrence Edward Chong, partner at Darryl, Edward & Co., provided insights into the Nasdaq listing framework and U.S. Securities and Exchange Commission oversight, addressing key regulatory requirements for non-U.S. companies. Terrence also discussed corporate structuring strategies, highlighting the use of Cayman Islands or British Virgin Islands entities for listing purposes, a preferred approach for Asian issuers aiming to achieve foreign private issuer status.

The seminar was attended by prospective issuers, corporate representatives, financial advisers, and professional service providers contemplating similar capital market transactions. The firm remains committed to monitoring developments in U.S. cross-border listings and advising clients on international listing structures and compliance with capital market regulations.
